Why Wyoming?

Why Wyoming?

Wyoming is tax-friendly for Latin American founders: owner privacy, 0% state income tax, no franchise tax and the lowest annual cost of the three states. $100 filing fee and a $60/year minimum annual fee. If you want to protect assets or set up a private holding company at the lowest cost, Wyoming is your state.

0% state income tax

Wyoming has no state income tax. Your LLC only pays at the federal level; as a single-member non-resident with no physical US activity there may be no federal payment, but you still have to file Form 5472 + Pro Forma 1120 with the IRS every year.

Holdings and asset protection

Wyoming is the only state that extends charging order protection even to single-member LLCs, the strongest in the country.

Owner privacy

Wyoming does not require LLC members to be disclosed. Your beneficial ownership stays out of public state records.

The process

How to open your Wyoming LLC: step by step

You can do the whole process on your own. Steps 2 and 4 are where foreign founders get stuck the most, and that is exactly where Sell-U takes over.

  1. 01 Your call · 5 min

    Choose your LLC name

It must end in "LLC" or "L.L.C." and be unique in Wyoming. Check availability on the Wyoming Secretary of State portal.

  2. 02 Required · $125/year

    Appoint a Wyoming Registered Agent

A person or company with a physical Wyoming address that receives legal mail. It cannot be you if you live outside the US.

    Sell-U handles it →
  3. 03 Official filing · Instant

    File the Articles of Organization

The document that creates your LLC with the Wyoming Secretary of State. $100 filing fee. Instant online approval.

  4. 04 IRS filing

Get your EIN from the IRS

The Employer Identification Number is the US equivalent of the RFC in Mexico or the NIT in Colombia. Without an SSN you must file Form SS-4 by fax or mail. It takes 4–8 weeks if you do it yourself.

  5. 05 Recommended

    Draft your Operating Agreement

It defines how your LLC runs: members, ownership percentages, decisions and distributions. It is not filed with the state, but banks and partners almost always ask for it.

  6. 06 No SSN · 100% remote

Open your bank account and start operating

With your active LLC and EIN you can apply to fintechs like Mercury, Relay or Wise Business. The process is 100% remote. Keep in mind that approval depends on each financial institution and is not guaranteed. Sell-U can guide you through it.

Why Wyoming is tax-friendly.

Three numbers that matter when choosing a state. Wyoming LLCs are pass-through by default.

Applies if you have physical or economic nexus in Wyoming.

If you have no physical presence in Wyoming and your annual sales to Wyoming customers stay under $100,000, it generally does not apply. If you have physical nexus (a warehouse or an employee) or exceed that economic threshold, you must register. Every case should be reviewed with a CPA.

License Tax
$60

Wyoming charges a minimum $60/year License Tax.

It is due on the first day of your LLC’s anniversary month. The amount can vary based on assets located in Wyoming. It is the most affordable recurring obligation in the country.

This is not tax advice. Every case depends on your residency and income. We work with partner CPAs who know the Latin American founder playbook.

FAQ

What matters, no fluff.

Don’t see your question? Write to us and a specialist will reply within 24 hours, in English or Spanish.

Do I need an SSN or to live in the US to open my Wyoming LLC?
No. You can form your Wyoming LLC from any country in Latin America or from Spain, with no SSN, no ITIN and no travel. All you need is a Registered Agent with a physical Wyoming address (Sell-U provides it), your passport and a mailing address.
How soon will my LLC be up and running?
The Articles of Organization are approved instantly online. The EIN for founders without an SSN takes another 4–8 weeks if you file by fax or mail. With Sell-U the full process (LLC + EIN) usually wraps up in 4–6 weeks.
Will I have to pay taxes in the US and in my home country?
It depends on your tax residency. A Wyoming LLC is pass-through by default: it pays no US corporate tax if you do not physically operate there. As the owner, though, you must file Form 5472 + 1120 every year (informational) and report the income in your country of residence.
Can I open a bank account for my LLC without traveling to the US?
Yes. Digital banks like Mercury, Relay and Wise Business accept founders without an SSN as long as you have an active LLC, an EIN and a passport. The process is 100% remote.
Why Wyoming and not Florida or Delaware?
Wyoming is ideal for asset holding and maximum privacy at the lowest cost. A $100 filing fee and a $60/year minimum annual fee make Wyoming the most affordable option. Florida makes more sense if your clients or team are in Latin America. Delaware is the pick if you plan to raise institutional capital.
